01. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Xeni (operated by PT PERSONA DIGITAL KREATIF, referred to as "we", "us", "our") regarding your access to and use of our content automation platform, software, websites, and related integrations.

By registering an account, purchasing a subscription, or accessing any element of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you are prohibited from using the platform and must terminate your account immediately.

02. Account Registration & Security

To access features of the platform, you must register for a user account. You agree to:

• Provide accurate, current, and complete details during sign-up.
• Maintain the confidentiality and security of your access credentials.
• Accept full responsibility for all activities, actions, and transactions executed under your account credentials.
• Notify our support team immediately at contact@xenilabs.app upon discovering unauthorized access or security breaches.

We reserve the right, in our sole discretion, to suspend or terminate accounts that violate our community guidelines, contain fraudulent details, or infringe upon third-party rights.

03. Platform Services & Usage Limits

Xeni operates an AI-assisted marketing automation service that generates captions, designs visual layouts, models brand guidelines (Business DNA), and hosts scheduling tools.

Your subscription tier determines your active limits, including active AI Agents, Generation Credits, and Brand DNA slots:

• Generation Credits: Deducted upon each successful invocation of caption generators, visual planners, or content pipelines. Unused credits do not roll over to the subsequent billing cycle unless explicitly specified in your plan description.
• Fair Use: You agree not to overload our hosting infrastructure or run high-frequency automated scraping scripts on our backend APIs. We reserve the right to temporarily throttle database request volume for accounts showing anomalous traffic patterns.

04. Third-Party Platform Integrations

Our Services allow you to connect your account to third-party social networks (specifically Meta/Facebook, Instagram, Google, and X/Twitter) via official OAuth APIs to enable publishing.

When using these integrations, you agree that:

• You will adhere to the respective developer guidelines, policies, and community terms of those networks (e.g., the Meta Platform Terms, Instagram Community Guidelines).
• Xeni has no authority, oversight, or control over the operational status, content moderation actions, or policy enforcement decisions of integrated networks.
• We are not liable for any interruptions, channel disconnects, account suspension, or content removal occurring on third-party channels due to posts published through our platform.
• You can sever OAuth integrations directly at any time inside our console or from your third-party account dashboard.

05. Intellectual Property & Content Ownership

Our Platform: Xeni, including all logos, layout UI designs, graphic elements, databases, codebases, and intellectual assets, remains the exclusive property of Xeni and is protected under national copyright laws and international treaties.

Your Content: You retain full copyright and ownership of all raw texts, assets, logos, brand guides (Business DNA), and information inputs uploaded to the console.

AI Outputs: To the extent permitted by applicable laws, you own the creative outputs generated by our AI workflows (captions, graphic templates). You grant Xeni a worldwide, royalty-free, non-exclusive license to process, cache, and transmit your inputs and generated results solely as required to provide our content planning services.

06. Billing, Subscriptions & Cancellations

Subscription payments are processed on a recurring pre-paid basis (monthly or annually) via Stripe.

• Automatic Renewal: Your plan automatically renews at the end of each billing cycle unless you cancel the renewal before the next cycle date.
• Cancellations: You can terminate your active subscription renewal at any time directly through your dashboard Billing portal. Upon cancellation, you retain premium access until the end of your prepaid period.
• Refunds: All payments are non-refundable unless required by regional legislation or in the case of system billing errors validated by our support desk.

07. Disclaimer of Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, XENI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

XENI SHALL NOT BE HELD LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, REVENUES, DATA INTEGRATION CHANNELS, OR BUSINESS STANDING) ARISING OUT OF YOUR ACCESS TO OR INABILITY TO USE THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO XENI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM EVENT.

08. Governing Law & Disputes

These Terms and any dispute arising from your use of the platform shall be governed by, and construed in accordance with, the laws of the Republic of Indonesia, without regard to conflict of law principles.

Any legal actions or proceedings related to these Terms must be filed in the competent courts of Jakarta, Indonesia, and you consent to the personal jurisdiction of such courts.
